Dispute Resolution and Jurisdiction

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services, the parties shall first attempt in good faith to resolve the dispute informally. You can reach out to us with your dispute by contacting legal@cicada.finance. We will try to resolve the issue through dialogue and may suggest participating in a mediation or negotiation.

If we are unable to resolve the dispute informally within a reasonable time (not exceeding 60 days), either party may initiate formal legal proceedings. Subject to the consumer protection exception stated in Section 15, you and CICADA Finance agree to submit to the exclusive jurisdiction of the courts of Massachusetts, USA to resolve any legal matter arising from these Terms or the Services. We both waive any objection to the venue of such courts (and any claim that such legal action has been brought in an inconvenient forum).

Alternatively, at our discretion and where agreed by you, we may elect to resolve the dispute by binding arbitration or another alternative dispute resolution mechanism. In such case, we will provide you notice of the election and the terms of the arbitration agreement separately.
