Indemnification

You agree to indemnify, defend, and hold harmless CICADA Finance, its parent company, affiliates, and their respective officers, directors, employees, and agents (collectively, “Indemnified Parties”) from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

(a) your use or misuse of the Services; (b) your breach or violation of any term of these Terms or any applicable law or regulation; or (c) your violation of any rights of a third party (including but not limited to intellectual property rights, privacy rights, or proprietary rights).

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such case, you agree to cooperate with our defense of that claim. You shall not settle any claim that involves any Indemnified Party or imposes any obligation on any Indemnified Party without our prior written consent.

This indemnity obligation shall survive any termination or expiration of these Terms and your use of the Services.
